Welcome to Ratch, operated by Ratch AI Private Limited, a company incorporated in India and a subsidiary of Fabric IoT Private Limited, under the Ratch.ai brand. These Terms and Conditions ("Terms") govern your use of our AI-powered recruitment platform and related websites, products and services (collectively, the "Services"). By creating an account or using the Services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not use the Services. In these Terms, "customer" means an employer, recruiter or organisation using the Services; "candidate" means a job seeker participating in an interview, screening or assessment; "user" means any person using the Services.

1. Our Services

Ratch provides:

  • AI-powered candidate interviews
  • AI Voice Screener and voice-based candidate evaluation
  • Live video interviews via Ratch Meet, with recording and AI transcript/summary
  • Audio, video and transcript capture during assessment sessions
  • Multi-language interview capabilities
  • Hiring analytics and reporting tools
  • Job–candidate matching
  • Related HR technology solutions and integrations

Features may change, be added or be withdrawn over time.

2. Eligibility

  • The Services are available to organisations and individuals seeking or offering employment opportunities.
  • All users must be at least 18 years old and have legal capacity to enter a binding agreement.
  • Customers must have authority to bind the organisation they represent.

3. User Obligations

All platform participants must adhere to the following requirements:

  • Accurate information: Provide truthful, current and complete information (e.g. credentials, job specifications, assessment responses).
  • Legal compliance: Comply with all applicable local, national and international laws on employment, recording, anti-discrimination and data protection.
  • Account security: Keep login credentials secure and remain responsible for all activity under your account. Ratch is not liable for arrangements or communications between users.

4. Acceptable Use

You must not:

  • Use the Services for unlawful, harmful, discriminatory or unauthorised purposes.
  • Attempt unauthorised access, scrape, reverse-engineer, disrupt or compromise the Services or their security.
  • Impersonate others, create false accounts, or misuse the Services to solicit payments, documents or private information from candidates under false pretences; or upload unlawful content or content you have no right to submit.
  • During any assessment or proctored interview, use unauthorised assistance, materials, devices, or a third person, attempt to copy, record, extract or share assessment content, or otherwise seek an unfair advantage or misrepresent your identity or abilities.

Such conduct may be detected, flagged for the employer's human review, and may result in your session being paused, discounted, or your disqualification from the recruitment process at the employer's discretion.

5. Subscriptions and Fees

  • The Services operate on subscription plans with various billing cycles.
  • Fees are charged in accordance with the applicable plan or order and, unless otherwise required by law or expressly stated, are non-refundable.
  • You may cancel at any time; access continues until the end of the current billing period without refund for the remaining period.
  • We may suspend or restrict access for non-payment.
  • Specific commercial terms for customers may be set out in a separate Order Form, Master Services Agreement (MSA) or Data Processing Agreement (DPA), which prevail over these Terms in case of conflict for those customers.

6. Data and Privacy

Our handling of personal data is governed by our Privacy Policy and, for customers, the DPA, which are incorporated by reference. As between Ratch and the customer: the customer is the controller / data fiduciary of candidate and assessment data, and Ratch acts as processor, processing such data on the customer's documented instructions.

  • Ratch retains ownership of, or holds the necessary licence to, the platform, software and aggregated/de-identified analytics. The "Ratch.ai" brand and underlying intellectual property are owned by Fabric IoT Private Limited and licensed to Ratch.
  • Candidate-submitted content and assessment data are processed on behalf of, and made available to, the relevant customer for evaluation and hiring decisions, subject to applicable consent and notice.
  • Candidates may request deletion of their data via support@ratch.ai; where Ratch acts as processor, such requests may be coordinated with the relevant customer.

7. AI Assessments — Disclaimers and Responsibilities

  • Decision-support only: AI outputs (scores, transcripts, voice/emotion analysis, summaries) are aids to evaluation and do not guarantee accuracy, fairness or completeness. Customers must apply independent human judgement and supplementary evaluation, and Ratch does not make final hiring decisions.
  • Human review: Candidates may request human review of, and contest, decisions involving significant automated processing, as provided under applicable law.
  • High-risk AI / jurisdictional limits: Recruitment AI may be classified as "high-risk," and emotion recognition in employment is restricted or prohibited in some jurisdictions; affected features are disabled where required (e.g. EU/UK).
  • Customer-defined questions: Customers define assessment questions. Ratch does not monitor or approve question content and disclaims liability for inappropriate, discriminatory or non-compliant questions set by customers.
  • Recording & consent laws: Customers are responsible for ensuring lawful use of recording, notice and consent under applicable voice/video, employment and data-protection laws. Each AI session begins with an AI/recording disclosure.

8. Service Availability and Disclaimers

  • The Services are provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation and disclaim liability for downtime, technical failures or AI errors, except as required by law or under an agreed SLA.
  • We do not warrant job availability, the authenticity of opportunities, or hiring outcomes. Users should independently verify opportunities and counterparties.

9. Third-Party Conduct and Financial Interactions

  • Ratch is not responsible for the conduct, misrepresentations or fraud of any user or customer once information is shared in accordance with these Terms.
  • Ratch does not facilitate, oversee or guarantee any payments between users and accepts no responsibility for financial losses arising from user interactions.
  • Users must never request payments, personal documents or private information under false pretences of employment. We may suspend accounts and assist law enforcement where we detect fraud or suspicious activity.

10. Suspension and Termination

We may suspend or terminate access for:

  • Breach of these Terms or law
  • False or fraudulent information
  • Platform abuse (hacking, security violations, interference)

On termination, data handling follows our Privacy Policy, the DPA (if applicable) and legal requirements.

11. Intellectual Property

The Ratch.ai platform, software, AI models, content, branding and features are owned by Fabric IoT Private Limited and/or Ratch AI Private Limited and may not be copied, distributed, modified or exploited without written authorisation. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services per these Terms.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Ratch is not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, data, goodwill or hiring outcomes.
  • Ratch's total aggregate liability (together with that of its parent Fabric IoT Private Limited and their affiliates) arising out of or related to the Services shall not exceed the fees paid by the customer to Ratch for a service preceding the event giving rise to the claim (or, for users who pay nothing, a nominal capped amount of INR 5,000).
  • Nothing limits liability that cannot be excluded under applicable law.

13. Indemnity

Customers agree to indemnify and hold harmless Ratch, its parent Fabric IoT Private Limited, and their respective affiliates, officers and employees from claims, losses and costs arising from:

  • Their use of the Services
  • Their assessment questions or hiring decisions
  • Their failure to obtain lawful consent or comply with recording/employment/data-protection laws
  • Their breach of these Terms

14. Governing Law and Disputes

These Terms are governed by the laws of India. Subject to applicable mandatory law, the courts of Bengaluru, Karnataka, India have exclusive jurisdiction. This does not deprive consumers/data principals of mandatory protections in their home jurisdiction.

15. Changes to These Terms

We may revise these Terms. Updates will be published on the platform with the "Last Updated" date revised. Continued use after changes constitutes acceptance.
